ARTICLE I - NAME
The name of this organization is the Rockford Area Illini Club, representing members residing within the northern Illinois counties of Boone, Winnebago, Stephenson and Ogle.

ARTICLE II - PURPOSE
The club will be a non-profit organization and will conduct a minimum of one meeting or event per year.
The purpose of the club will be:

To encourage and support the educational, recreational and athletic purposes of the University of Illinois and the Alumni Association of the University of Illinois.
To cultivate friendship and fellowship among the members of the Club.
To express loyalty to, and promote the welfare of, the University of Illinois.

ARTICLE III - MEMBERSHIP
All University of Illinois graduates, friends of the University, former students and parents of students are eligible for membership in the Club.  Members are required to pay either an individual or couple membership amount as determined by the Board of Directors of the Rockford Area Illini Club.

ARTICLE IV - OFFICERS
The officers of the Club will consist of a President, Vice President, Secretary, Treasurer, Vice President of Membership, and Media Liaison, all of whom must hold a membership in the University of Illinois Alumni Association.  Offices serve a term of one year and can be re-elected by the membership to subsequent terms.  Terms for officers will run from September 1 to August 31 each year.  No officer or member of the Club may receive any personal profit from the operation or activity of the Club.

ARTICLE V - DUTIES OF OFFICERS
SECTION 1.  PRESIDENT - The President will perform duties that generally pertain to the office of President, including any duties specified herein.  The President will preside at all meetings of the club, will be the Chairperson of the Board of Directors, and will be an ex officio member of every Club committee.  The President will schedule the Club meeting and events each year and see that the other officers perform their duties.

SECTION 2.  VICE PRESIDENT -  The Vice President will learn the role and duties of the President.  In the absence or disability of the President, or at the request of the President, the Vice President will perform the duties of the President.  If the office of the President becomes vacant, the Vice President will become President for the unexpired term.  The Vice President will assist in the planning and promotion of Club events and activities.

SECTION 3.  SECRETARY -  The Secretary will keep minutes of all Club and Board of Directors meetings, direct Club mailings, comlete Club correspondence to members or outside agencies, and assist with the annual report to the University of Illinois Alumni Association office.

SECTION 4.  TREASURER -  The Treasurer will supervise all receipts (including dues) and expenditures, maintain a Club bank account and be in charge of financial arrangements for all meetings, programs and events of the Club.  The Treasurer will be an ex officio member of all committees.

SECTION 5.  VICE PRESIDENT OF MEMBERSHIP -  The Vice President of Membership will develop and supervise accurate and up-to-date membership lists, collect dues for Club memberships, submit dues to the Club Treasurer for deposit, and oversee the solicitation of new members.

SECTION 6.  MEDIA LIAISON -  The Media Liaison will promote Club and University events through all appropriate media contacts.

ARTICLE VI - BOARD OF DIRECTORS
SECTION 1.  The Board of Directors will consist of the five (5) officers named in Article IV and ten (10) members elected at large.  At the first election of the Board of Directors, five (5) will be elected for a term of one year, five (5) for a term of two years, and five (5) for a term of three years.  In each succeeding year, five (5) Directors will be elected for a term of three years to replace the Directors whose terms are expiring, so that one-third of the Board is elected each year.  Each member of the Board of Directors must be a member of the University of Illinois Alumni Association and the Rockford Area Illini Club.
 

SECTION 2.  The Board of Directors will have full power to fill all vacancies of Officers or Directors.
 

SECTION 3.  The Board of Directors will have the power to establish annual dues to be collected from eligible members.  The Board of Directors is responsible for Club income, expenses and financial obligations.
 

SECTION 4.  The Board of Directors will meet at least once per year.  Such meetings are to be held at such time and place as will be determined by the President, with the approval of the Board of Directors.  A meeting of the Board of Directors may be called either by the President or by three (3) members of the Board upon written request to the President.

ARTICLE VII - COMMITTEES
The President, with the approval of the Board of Directors, will appoint such committees as may be necessary to carry out the goals and objectives of the Club and to properly administer the affairs of the Club.  Committees may include, but are not limited to:  PUBLICITY, NOMINATION, MEMBERSHIP, SCHOLARSHIPS, AND EVENTS/ACTIVITIES.

ARTICLE VIII - MEETINGS
The President will call at least one general meeting of the membership each year.  The Board of Directors will meet at least once per year at a time and place determined by the President.  Meetings will be held as frequently as necessary to carry out the purposes of the Club.  The University of Illinois Alumni Association will be informed about all Club meetings through correspondence or as part of the annual report to the University of Illinois Alumni Association.

ARTICLE IX - FISCAL YEAR
The membership and fiscal year for the Club will coincide, beginning on September 1 and ending on August 31 of the following year.

ARTICLE X - BYLAW ADOPTION
The Bylaws of the Club will be officially adopted by the Club upon approval by a majority vote of the members attending the meeting at which the Bylaws are considered and voted upon.

ARTICLE XI - BYLAW CHANGES
The Board of Directors may propose changes in the Bylaws that will become effective when approved by a majority vote of those members at the general membership meeting during which the changes are considered and voted upon.  The membership of the Club will have the power to make, alter, amend or repeal the Bylaws, provided that such Bylaws will not be inconsistent with or contradicting to the Bylaws of the University of Illinois Alumni Association.
